1. Service Description

ProcureTrail is the cloud-based software platform used by Kiren & Co, Chartered Accountants (FRN 031392S), to deliver procurement and asset-management governance as a professional engagement. The engagement includes procurement workflow configuration, asset tracking, compliance reporting, and ongoing support, with access to ProcureTrail provided for the duration of the engagement. “Oparc” refers to the digital gateway of Kiren & Co, Chartered Accountants (FRN 031392S), through which the platform and this site are offered; references to “Oparc”, “we”, or “us” in these Terms are to that firm.

Evaluation access: Where preview or evaluation access is provided so you can assess the platform ahead of an engagement, it is offered for assessment purposes only. It does not constitute a sale, subscription, or licence of software, and no fee is payable for it; professional fees become payable only upon entering a formal engagement. Evaluation access is time-limited and must not be relied upon for live or production use. If no professional engagement with Kiren & Co, Chartered Accountants follows within the evaluation period, the evaluation organisation and its data are deactivated and soft-deleted, and thereafter permanently deleted in accordance with Section 7. Evaluation access may be modified, suspended, or withdrawn at any time.

2. Account Responsibilities

Age requirement: You must be at least 18 years of age to use ProcureTrail. By creating an account or using the service, you represent and warrant that you are 18 years or older. In accordance with the Digital Personal Data Protection Act, 2023, we do not knowingly process personal data of individuals under 18. If we become aware that a user is under 18, we will promptly delete their account and associated data.

You are responsible for maintaining the confidentiality of your account credentials. Each user account should be used by a single individual. You must notify us immediately of any unauthorized access.

You agree to use ProcureTrail only for lawful business purposes related to procurement and asset management. You may not:

4. Data Ownership

You retain full ownership of all data you create within ProcureTrail. We claim no ownership rights over your business data, documents, or records. You may export your data at any time.

5. Service Availability

We strive to maintain 99.5% uptime. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors beyond our control.

6. Payment Terms

Professional fees for the engagement are billed as set out in your engagement letter. Invoices are payable within 15 days. We reserve the right to suspend access for accounts with fees overdue by more than 30 days.

7. Termination

Either party may terminate the service with 30 days' written notice. Upon termination, we will provide a full data export. Data will be retained for 90 days after termination before permanent deletion.

8. Limitation of Liability

To the maximum extent permitted by law, Oparc's total liability shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.

10. Changes

We may update these terms with 30 days' notice. Continued use after the notice period constitutes acceptance of the revised terms.
